Iervolino Entertainment S.p.A. (“Iervolino Entertainment” or the “Company”), a company engaged in the production of cinematographic, web and television content for the international market and listed on the AIM Italia stock exchange, announced that today the Board of Directors approved the report on the exclusion of the option right pursuant to art. 2441, paragraph 6 of the Italian Civil Code for the capital increase aimed at creating the provision of ordinary shares of the Company to serve the issuance of warrants, which will be offered free of charge to the employees and some contractors of the Company and its subsidiaries, identified by the Board of Directors at its sole discretion.

Iervolino Entertainment also announces that the issue of the warrants and the consequent capital increase in service of this issue will be resolved by the Board of Directors on 22 February 2021 by virtue of the delegation of powers pursuant to art. 2443 of the Italian Civil Code granted by the Shareholders’ Meeting on 10 April 2020 and subsequently amended on 23 September 2020, providing among other things for the power to issue warrants – which will entitle their holders to subscribe ordinary Company shares – to be offered free of charge or otherwise to employees and contractors of the Company and its subsidiaries, as well as to resolve capital increases in service of said warrants.
